1Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Master Netflow Security Platform, including all associated websites, mobile applications, APIs, and services (collectively, the "Platform"), operated by Master Netflow Inc. ("Master Netflow," "we," "us," or "our"), a corporation incorporated under the laws of British Columbia, Canada.

By accessing or using the Platform — whether as a Client Organization, an employee User, or a visitor — you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you are accessing the Platform on behalf of a Client Organization, you represent and warrant that you have full legal authority to bind that organization to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Platform.

2Platform Description & Use

The Master Netflow Security Platform is a multi-tenant Software-as-a-Service (SaaS) solution that enables organizations to:

  • Deliver cybersecurity awareness training and certification programs to employees
  • Conduct security awareness simulations and campaigns (including simulated phishing and ransomware scenarios) on behalf of their organizations
  • Assess and track employee-level and department-level security risk scores
  • Manage, monitor, and report on organizational security posture
  • Access AI-assisted security content and risk analysis tools

The Platform is designed for business use. Each Client Organization operates within its own isolated tenant environment. Master Netflow does not access or share data across tenant boundaries except as required to operate the Platform or as permitted by these Terms.

3Client Organizations & Users

3.1 Client Organizations

A "Client Organization" is any business, institution, or entity that subscribes to the Platform and administers accounts for its employees or members. As a Client Organization, you:

  • Are responsible for all use of the Platform by your employees and authorized users
  • Act as the Data Controller for the personal data of your enrolled employees processed through the Platform
  • Are responsible for obtaining any necessary employee consents and ensuring compliance with applicable employment and privacy laws in your jurisdiction
  • Control which employees are enrolled, which campaigns are activated, and which administrators have access to reports and results

3.2 Users (Employees)

A "User" is any individual who accesses the Platform under a Client Organization's account. Users must be at least 16 years of age. Users are subject to both these Terms and any additional policies set by their organization.

3.3 Administrator Access

Client Organizations may designate administrators who can access individual and aggregate employee training records, simulation results, and risk scores. Administrators must use this access only for legitimate organizational security management purposes and in compliance with applicable privacy laws.

Data Processing Agreement: For Client Organizations subject to privacy legislation such as PIPEDA, BC PIPA, or GDPR, Master Netflow will enter into a Data Processing Agreement (DPA) governing our processing of personal data on the Client's behalf. Contact legal@masternetflow.com to request a DPA.

4Security Awareness Simulations

At the direction of Client Organizations, Master Netflow conducts security awareness simulations and campaigns, which may include simulated phishing exercises, ransomware awareness scenarios, social engineering training, and related educational cybersecurity activities. These activities are conducted solely for educational and organizational risk assessment purposes.

4.1 Client Authorization

All security simulations are deployed exclusively at the direction and authorization of the Client Organization. Master Netflow does not independently determine simulation targets, content, or frequency.

4.2 Client Responsibility

Client Organizations are solely responsible for:

  • Determining whether security simulations are appropriate for their workforce and workplace policies
  • Ensuring simulations comply with applicable employment, privacy, and labor laws in their jurisdiction
  • Informing employees of applicable workplace monitoring and security testing practices, to the extent required by law
  • Obtaining any union approvals, HR sign-offs, or consent required under their employment agreements

4.3 Limitation of Master Netflow's Liability for Simulations

Master Netflow shall not be liable for any employee complaints, HR disputes, labor claims, or legal proceedings arising from security simulations authorized by a Client Organization. The Client Organization assumes full responsibility for simulation governance.

Scope of Use: Simulation tools may only be used against your own enrolled employees within your organization's tenant environment. Any use of Master Netflow simulation features to conduct unauthorized testing against individuals outside your organization is strictly prohibited and may constitute a criminal offense.

5Intellectual Property

5.1 Ownership

The Platform and all of its content, features, and functionality — including software, code, training content, simulation templates, algorithms, user interface designs, and documentation — are owned by Master Netflow, its licensors, or other providers, and are protected by Canadian and international intellectual property laws.

5.2 License to Use

Subject to your compliance with these Terms and an active subscription, Master Netflow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes. This license does not include:

  • The right to reproduce, distribute, modify, or create derivative works of any Platform content
  • The right to reverse engineer, decompile, or disassemble any part of the Platform
  • The right to scrape, data mine, or extract data from the Platform by automated means
  • The right to sublicense or resell access to the Platform or its content
  • The right to remove or alter any copyright, trademark, or proprietary notices

5.3 Client Data Ownership

Client Organizations retain ownership of all data they upload to or generate through the Platform ("Client Data"), including employee lists, custom training content, and campaign configurations. You grant Master Netflow a limited license to process Client Data solely as necessary to provide the Platform services in accordance with these Terms and our Privacy Policy.

5.4 Feedback

If you provide suggestions, feature requests, or other feedback about the Platform, you grant Master Netflow a worldwide, perpetual, royalty-free license to use such feedback to improve our products and services, without obligation or compensation to you.

6User Accounts & Security

6.1 Account Registration

To use the Platform, you must register for an account and provide accurate, current, and complete information. You agree to update your information promptly if it changes.

6.2 Account Security Obligations

  • Maintain the confidentiality of your account credentials and do not share your password with any third party
  • Enable multi-factor authentication (MFA) where available — we strongly recommend this for all accounts
  • Log out from your account after each session when accessing from shared or public devices
  • Notify Master Netflow immediately at security@masternetflow.com if you suspect any unauthorized access to your account

6.3 Account Responsibility

You are responsible for all activity that occurs under your account, including actions taken by anyone to whom you grant access. Master Netflow will never ask for your password via email or phone. Any communication requesting your password should be treated as a phishing attempt and reported to us.

Security Reminder: Master Netflow will never ask for your password via email, phone call, or any unsolicited communication. Always access the Platform directly through masternetflow.com.

7Acceptable Use

7.1 Compliance with Laws

You agree to use the Platform in compliance with all applicable federal, provincial, and local laws, regulations, and industry standards. You are solely responsible for ensuring your use is lawful in your jurisdiction.

7.2 Prohibited Conduct

You must not use the Platform to:

Unauthorized Access

Attempt to gain unauthorized access to the Platform, other user accounts, or any connected systems or networks.

Misuse of Simulation Tools

Use simulation features against individuals or organizations not enrolled in your tenant, or for any purpose other than authorized security awareness training.

Harmful or Illegal Content

Upload, transmit, or distribute content that is unlawful, harmful, harassing, defamatory, obscene, or violates any third-party rights.

Platform Interference

Disrupt, overburden, or impair the Platform's infrastructure, or interfere with other users' access to or use of the Platform.

7.3 Content Guidelines

Any content you submit or upload must: be owned by you or used with appropriate permission; be free of malware, viruses, or harmful code; not violate any applicable laws; and not infringe any third-party intellectual property or privacy rights.

7.4 Enforcement

We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating accounts, removing content, and reporting to law enforcement.

8Subscription Plans

8.1 Available Plans

The Platform is offered through various subscription plans with different features, user limits, and pricing. Plan details are presented at the time of purchase or as communicated by Master Netflow.

8.2 Subscription Period & Auto-Renewal

Subscriptions are available on a monthly or annual basis. Unless canceled before the renewal date, subscriptions automatically renew for the same period at the then-current rate. We will provide notice of any pricing changes at least 30 days before a renewal.

8.3 Plan Limits

Each plan includes limits on user accounts, simulation campaigns, data storage, and feature access. You agree not to exceed these limits. Master Netflow may monitor usage to ensure compliance and may contact you if usage is approaching or exceeding plan limits.

9Payment Terms

9.1 Pricing & Currency

All prices are listed in Canadian dollars (CAD) unless otherwise specified. Master Netflow reserves the right to adjust pricing upon reasonable notice (no less than 30 days) before any renewal period.

9.2 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize Master Netflow to charge the applicable fees to your designated payment method. We do not store full credit card numbers on our servers — all payment data is handled by Stripe in accordance with PCI-DSS standards.

9.3 Billing Cycles

Monthly subscriptions are billed on the same calendar day each month. Annual subscriptions are billed on the same date each year. If the billing date falls on a day not present in a given month (e.g., the 31st), you will be billed on the last day of that month.

9.4 Taxes

All fees are exclusive of applicable taxes. Master Netflow will charge applicable Canadian taxes (GST/HST/PST) as required by law. You are responsible for any additional taxes applicable in your jurisdiction.

9.5 Failed Payments & Suspension

If a payment fails due to insufficient funds, expired payment methods, or other reasons, we may suspend access to the Platform until payment is resolved. We will notify you promptly of any payment failure and provide a reasonable opportunity to update your payment information before suspension.

9.6 Refund Policy

Subscription fees are generally non-refundable. If you cancel mid-term, your subscription will remain active until the end of the current billing period. Exceptions may apply where required by applicable consumer protection legislation in British Columbia or Canada.

10Free Trial

14-Day Free Trial

Master Netflow offers a 14-day free trial for eligible new Client Organizations. The trial begins on the date of account registration.

10.1 Trial Eligibility

Free trials are available to new Client Organizations that have not previously held a Master Netflow subscription. Master Netflow reserves the right to determine eligibility and limit trial availability at its discretion.

10.2 Trial Limitations

During the trial period, you may have access to a subset of Platform features. Specific limitations are disclosed during the trial registration process. Trial accounts may have reduced user seat limits, campaign capacity, and feature availability compared to paid plans.

10.3 No Payment Required for Trial

No credit card or payment information is required to begin your free trial unless otherwise specified. If a payment method is provided, it will not be charged until the trial period ends and you confirm conversion to a paid plan.

10.4 Trial Conversion

At the end of the 14-day trial, your access will be suspended unless you convert to a paid subscription. To maintain continuous access and retain all data created during the trial, you must select a paid plan before trial expiry.

10.5 Data After Trial Expiry

If you do not convert to a paid plan, your trial account and associated data will be retained for a grace period of 48 hours following trial expiry. After this period, your account and data may be permanently deleted without further notice.

Export your data: We recommend exporting any important data before your trial expires if you do not intend to subscribe. Use the Platform's export functionality while your trial is active.

11Cancellation & Termination

11.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period. No refunds are provided for unused time in the current period, except as required by law.

11.2 Termination by Master Netflow

Master Netflow may suspend or terminate your access to the Platform immediately and without prior notice if:

  • You breach any provision of these Terms
  • You use the Platform in a way that poses a security risk or legal risk to Master Netflow, other clients, or third parties
  • Payment obligations remain outstanding after a reasonable cure period
  • Required by applicable law or regulatory order

11.3 Effect of Termination

Upon termination or cancellation:

  • Your license to use the Platform ceases immediately
  • You lose access to all Platform content, features, and data
  • Master Netflow will retain your data for 30 days following termination before deletion, unless a longer period is required by law
  • Outstanding fees remain due and payable

11.4 Data Export Before Cancellation

You may export your data using the Platform's export tools before your subscription ends. After termination, data export requests may be subject to a reasonable administrative fee and will be honored within 30 days of a written request, subject to technical feasibility.

Policy Violations: If your subscription is terminated due to a violation of these Terms, Master Netflow reserves the right to refuse future service and prohibit re-registration under the same organization or individual.

14Indemnification

You agree to defend, indemnify, and hold harmless Master Netflow and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms or our Privacy Policy
  • Your violation of any applicable law, regulation, or third-party right
  • Any content you submit, upload, or transmit through the Platform
  • Your use of simulation features in a manner not authorized by or inconsistent with these Terms
  • Any claims by your employees or other individuals relating to security simulations or training activities you authorized
  • Your negligence or willful misconduct

Master Netflow reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with such defense and not to settle any claim without Master Netflow's prior written consent.

15Third-Party Services

The Platform integrates with or links to third-party services, including payment processors, email delivery providers, cloud infrastructure, AI services, and threat intelligence APIs. Master Netflow is not responsible for the content, privacy practices, or performance of third-party services.

Current Third-Party Integrations include: Stripe (payments), Mailgun & MailerSend (email delivery), OpenAI (AI-powered features), VirusTotal and Google Safe Browsing (threat intelligence), and Sentry (error monitoring). Your use of these integrations may be subject to those providers' terms of service. See our Privacy Policy — Subprocessors for full details.

We will notify Client Organizations of material changes to subprocessors or integrations that affect the processing of personal data in accordance with our Data Processing Agreement obligations.

16Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

The parties agree that any legal proceedings arising from or relating to these Terms or the Platform shall be brought exclusively in the courts of competent jurisdiction located in Vancouver, British Columbia, Canada, and each party irrevocably consents to that jurisdiction.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

Master Netflow's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17Dispute Resolution

17.1 Informal Resolution First

We encourage resolving disputes informally before initiating formal proceedings. If you have a dispute with Master Netflow, please contact us first at legal@masternetflow.com with a written description of the dispute and the resolution you are seeking. We will make reasonable efforts to resolve the matter within 30 business days.

17.2 Mediation

If informal resolution is unsuccessful, either party may request non-binding mediation administered by a mutually agreed mediator in Vancouver, British Columbia. The costs of mediation shall be shared equally unless otherwise agreed.

17.3 Litigation

If mediation does not resolve the dispute, either party may pursue the matter through the courts of competent jurisdiction in British Columbia as set out in Section 16. Both parties retain all rights available to them under applicable Canadian law.

17.4 Class Actions

To the extent permitted by applicable law, you agree to bring any dispute against Master Netflow solely on an individual basis, and not as a plaintiff or class member in any purported class action or representative proceeding.

18Changes to These Terms

Master Netflow may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we make changes, we will update the "Last Updated" date at the top of this page.

For material changes, we will provide at least 30 days' advance notice by email or through a prominent notice on the Platform before the new Terms take effect. Your continued use of the Platform after the effective date of any revised Terms constitutes acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Platform and cancel your subscription before the effective date.
