1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Master Netflow Security Platform, including any associated websites, mobile applications, and services (collectively, the "Platform") operated by Master Netflow Inc. ("Master Netflow," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Intellectual Property Rights

2.1 Ownership

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Master Netflow, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.2 License to Use

Subject to your compliance with these Terms, Master Netflow grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your internal business purposes or as otherwise permitted by your subscription plan. This license does not include:

  • The right to reproduce, distribute, modify, or create derivative works of the Platform or its content
  • The right to use the Platform for any purpose not expressly permitted by these Terms
  • The right to scrape, data mine, or otherwise extract data from the Platform in an automated manner
  • The right to remove any copyright, trademark, or other proprietary notices

2.3 Feedback

If you provide suggestions, comments, or other feedback about the Platform ("Feedback"), you hereby grant Master Netflow a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display such Feedback for any purpose without restriction or compensation to you.

3. User Accounts

3.1 Account Creation

To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

  • Maintain the confidentiality of your password and not share it with any third party
  • Immediately notify Master Netflow of any unauthorized use of your account or any other breach of security
  • Ensure that you log out from your account at the end of each session when accessing the Platform from a shared device
  • Use reasonable efforts to prevent unauthorized access to your account, including by enabling two-factor authentication where available

3.3 Account Types and User Roles

The Platform may offer different types of accounts and user roles with varying levels of access and functionality. You agree to use only the account type and role that you are authorized to use and not to attempt to access features or data that are outside the scope of your authorized access.

Important Note on Account Security

Master Netflow will never ask for your password via email, phone, or any other unsolicited communication. Always access the Platform directly through our official website or mobile application when entering your credentials.

4. Acceptable Use

4.1 Compliance with Laws

You agree to use the Platform in compliance with all applicable laws, regulations, and industry standards. You are solely responsible for ensuring that your use of the Platform is legally permitted in your jurisdiction.

4.2 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Security Violations

Attempting to gain unauthorized access to the Platform or other users' accounts, testing the Platform for vulnerabilities without express permission, or disrupting or interfering with the security of the Platform.

Harmful Content

Uploading, posting, or transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, or otherwise objectionable.

Intellectual Property Infringement

Infringing on or violating the intellectual property rights or other rights of any third party, including copyright, trademark, patent, trade secret, or right of publicity.

Resource Abuse

Using the Platform in a manner that could disable, overburden, damage, or impair it or interfere with any other party's use of the Platform.

4.3 Content Guidelines

Any content you submit, upload, or otherwise make available through the Platform must comply with the following guidelines:

  • You must have all necessary rights, licenses, consents, and permissions to share such content
  • The content must not contain any viruses, malware, or other harmful code
  • The content must not violate any applicable laws or regulations
  • The content must not infringe on the privacy or other rights of individuals

5. Subscription Terms

5.1 Subscription Plans

The Platform offers various subscription plans with different features, limitations, and pricing. The specific terms of your subscription plan will be presented to you at the time of purchase or as otherwise communicated by Master Netflow.

5.2 Subscription Period

Subscriptions are offered on a monthly or annual basis, as selected at the time of purchase. Unless otherwise specified, subscriptions automatically renew for the same term at the then-current rate unless canceled before the renewal date.

5.3 User Limits

Each subscription plan may include limitations on the number of authorized users, data storage, or other usage metrics. You agree not to exceed these limits and acknowledge that Master Netflow may monitor your usage to ensure compliance.

6. Payment Terms

6.1 Pricing

The pricing for subscription plans is as listed on our website or as otherwise communicated to you. All prices are in U.S. dollars unless otherwise specified. Master Netflow reserves the right to change subscription fees upon reasonable notice before the start of a renewal term.

6.2 Payment Methods

We accept payment via credit card, debit card, and certain enterprise payment methods. By providing a payment method, you authorize us to charge that method for all fees associated with your subscription and confirm that you are authorized to use that payment method.

6.3 Billing Cycles

For monthly subscriptions, you will be billed on the same day each month. For annual subscriptions, you will be billed on the same day each year. If your subscription begins on a day not contained in a subsequent month (e.g., January 31), you will be billed on the last day of that month.

6.4 Taxes

All fees are exclusive of taxes, which we will charge as applicable. You are responsible for paying all taxes associated with your use of the Platform, except for taxes based on Master Netflow's net income.

6.5 Late Payments

If a payment is not successfully processed due to expiration, insufficient funds, or otherwise, we may suspend your access to the Platform until payment is successfully processed. For any amounts not received by the due date, we may charge a late fee of 1.5% of the amount outstanding per month or the maximum amount permitted by law, whichever is less.

7. Trial Period

7.1 Trial Eligibility

Master Netflow may offer a limited, free trial period for certain subscription plans. Eligibility for a trial is determined at Master Netflow's discretion, and we reserve the right to limit or modify trial eligibility criteria at any time.

7.2 Trial Duration

The standard trial period is 7 days from the date of registration, unless otherwise specified. Master Netflow reserves the right to extend or shorten the trial period at its discretion.

7.3 Trial Limitations

During the trial period, you may have access to a limited set of features and functionality. Specific limitations are outlined during the trial registration process. Trial accounts may have restricted user limits, campaign capacities, and available features compared to paid subscription plans.

7.4 Trial Conversion

At the end of the trial period, your access to the Platform will be suspended unless you convert to a paid subscription. To maintain uninterrupted access to the Platform and any data created during the trial period, you must select a paid subscription plan before the end of the trial period.

7.5 Data Retention After Trial

If you do not convert to a paid subscription at the end of the trial period, your account and associated data may be retained for a limited grace period of 48 hours after trial expiration. After this grace period, your account and data may be deleted without further notice.

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting our customer support team. If you cancel, your subscription will remain active until the end of your current billing period, at which point it will not renew. No refunds will be provided for the unused portion of your current billing period unless required by law.

8.2 Termination by Master Netflow

Master Netflow may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

8.3 Effect of Termination

Upon termination or cancellation:

  • Your license to use the Platform will immediately terminate
  • You will lose access to all content, data, and features of the Platform
  • Master Netflow may delete your account data after a period of 30 days from termination, unless a different retention period is required by law
  • You remain liable for all amounts due under your subscription up to the date of termination

8.4 Data Export

Prior to cancellation, you may export your data from the Platform using the export functionality provided. After termination, Master Netflow is not obligated to provide access to your data but may do so upon written request, subject to a reasonable administrative fee.

Important Notice

If your subscription is terminated due to a violation of these Terms, Master Netflow reserves the right to refuse future service and prohibit you from creating new accounts.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MASTER NETFLOW DOES NOT WARRANT THAT (1) THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS, (2) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS, OR (5) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MASTER NETFLOW OR THROUGH OR FROM THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MASTER NETFLOW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE PLATFORM.

UNDER NO CIRCUMSTANCES WILL MASTER NETFLOW BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE PLATFORM OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MASTER NETFLOW ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE PLATFORM; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE PLATFORM.

IN NO EVENT SHALL MASTER NETFLOW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO MASTER NETFLOW HEREUNDER IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100.00, WHICHEVER IS GREATER.

THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF MASTER NETFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THESE TERMS GIVE YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.

11. Indemnification

You agree to defend, indemnify, and hold harmless Master Netflow, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
  • Your use of the Platform in a manner inconsistent with these Terms
  • Any content you submit, post, or transmit through the Platform
  • Your negligence or willful misconduct

Master Netflow reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Master Netflow.

12. Third-Party Services

The Platform may contain links to third-party websites or services that are not owned or controlled by Master Netflow. Master Netflow has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Master Netflow shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or interact with.

Integration Partners

The Platform may offer integrations with various third-party services such as single sign-on providers, email services, and data analytics tools. Your use of these integrations is subject to both these Terms and the terms of service of the respective third-party providers.

13. Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Dispute Resolution

14.1 Initial Dispute Resolution

Most disputes can be resolved informally. If you have any dispute with Master Netflow, you agree to contact us first and attempt to resolve the dispute with us informally by sending a written notice of your dispute to disputes@masternetflow.com. The notice must include your name, address, and a description of the dispute and the relief you are seeking. If Master Netflow is unable to resolve the dispute within 60 days, either party may proceed to formal dispute resolution.

14.2 Binding Arbitration

Except for disputes in which either party seeks to bring an individual action in small claims court or seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and Master Netflow agree to resolve any disputes through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA").

14.3 Arbitration Procedures

The arbitration will be conducted by a single, neutral arbitrator and shall take place in the county or parish where you reside, or at another mutually agreed location, in the English language. The arbitrator will decide the rights and liabilities, if any, of you and Master Netflow. The dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum's rules, and these Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Master Netflow.

14.4 Waiver of Jury Trial

YOU AND MASTER NETFLOW HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Master Netflow are instead electing that all claims and disputes shall be resolved by arbitration under this section, except as specified in Section 14.2 above. An arbitrator can award on an individual basis the same damages and relief as a court and must follow these Terms as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

14.5 Waiver of Class or Consolidated Actions

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. In the event that this provision is deemed invalid or unenforceable, neither you nor Master Netflow is entitled to arbitration, and instead claims and disputes shall be resolved in a court located in Delaware.

14.6 Opt-Out Right

You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to optout@masternetflow.com within 30 days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, the email address you used to set up your account (if you have one), and a clear statement that you want to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of these Terms will continue to apply to you.

15. Changes to Terms

Master Netflow reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform, and your only recourse is to stop using the Platform and cancel your subscription.
